Accept Mission Terms of Service

These Terms of Service (“Terms”, “Terms of Service”) form a binding contract (the “Contract”) between you as an Authorized User (as defined below) and Accept Mission B.V., a Dutch corporation with its registered office in Rotterdam, the Netherlands (“Accept Mission”, “we”, “our”, or “us”).

By accessing or using Accept Mission’s online Idea and Innovation Management platform, website located at https://www.acceptmission.com (including all subdomains), APIs, connectors, integrations, mobile applications, and related services (collectively, the “Service”), including when the Service is obtained or used via Microsoft Marketplace, Microsoft Power Platform, or Microsoft Copilot, you agree to be bound by these Terms, all applicable laws and regulations, and acknowledge that you are responsible for compliance with any applicable local laws.

These Terms apply to all Authorized Users, visitors, customers, and others who access or use the Service. If you do not agree to these Terms, you are prohibited from using or accessing the Service.

1. About the Customer and Authorized Users

A project, workspace, or instance of the Services within Accept Mission is referred to as a “Mission”.

For Missions created under a personal or free subscription plan (“Personal Missions”), the individual who creates the Mission is considered the customer (the “Customer”) and controls that Mission and all associated Customer Data.

For Missions created under a paid subscription plan (“Team Missions”), the organization or entity that has entered into a separate customer agreement, order form, or subscription agreement with Accept Mission (the “Customer Agreement”) is considered the Customer and controls all Missions and associated Customer Data.

All individuals granted access to a Mission by a Customer are considered “Authorized Users”. All Authorized Users are bound by these Terms of Service and the Accept Mission Privacy Policy.

Authorized Users may submit text, ideas, comments, votes, images, sketches, videos, documents, links, and other content while using the Service (“Customer Data”).

The Customer owns all rights to Customer Data within a Mission. By submitting Customer Data, you acknowledge that the Customer controls the use, modification, disclosure, and deletion of such Customer Data, including the ability to revoke your access.

Accept Mission does not control Customer Data. The Customer is solely responsible for:

• Informing Authorized Users of applicable internal policies
• Obtaining all necessary rights, permissions, and consents for lawful processing of Customer Data
• Handling and resolving disputes related to Customer Data

These Terms remain in effect unless your access is terminated by you, the Customer, or Accept Mission.

2. License and Restrictions

Subject to these Terms, Accept Mission grants Authorized Users a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for internal business or authorized purposes.

Except as expressly permitted, you may not:

• Reverse engineer, decompile, or disassemble the Service or any related software
• Modify, translate, or create derivative works
• Use the Service for timesharing or service bureau purposes
• Attempt to bypass security measures or access unauthorized systems
• Remove proprietary notices or branding

This license terminates automatically upon violation of these Terms. Use of the Service by individuals under the age of 13, or the minimum legal age in your jurisdiction, is prohibited.

3. Account Security

Each Authorized User must maintain unique login credentials. You are responsible for safeguarding your credentials and all activities conducted through your account. You must notify Accept Mission immediately of any unauthorized use or security breach.

4. Privacy and Data Protection

Accept Mission processes personal data in accordance with applicable data protection laws and the Accept Mission Privacy Policy, which forms an integral part of these Terms. The Privacy Policy is available on our website.

5. Acceptable Conduct

Authorized Users are solely responsible for all Customer Data they submit. You agree to use the Service only in compliance with these Terms, applicable laws, and Accept Mission policies.

You agree not to submit Customer Data that is unlawful, infringing, harmful, offensive, misleading, or contains malicious software. You further agree not to misuse the Service, impersonate others, disrupt operations, or attempt to build competing services using the Service.

You agree to indemnify and hold harmless Accept Mission from any claims arising from your use of the Service or violation of these Terms.

6. Limitation of Liability

To the maximum extent permitted by law, Accept Mission shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities, even if advised of the possibility of such damages.

Accept Mission’s total liability under these Terms shall not exceed the fees paid for the Service during the twelve months preceding the event giving rise to the claim.

7. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

9. Assignment

You may not assign these Terms without prior written consent. Accept Mission may assign these Terms in connection with a merger, acquisition, or sale of assets.

10. Accuracy of Information

Accept Mission does not warrant that the Service content is accurate, complete, or current and may update the Service at any time.

11. User Feedback

Any feedback or suggestions you provide may be used by Accept Mission without restriction or compensation.

12. Third-Party Links and Services

The Service may contain links to third-party services. Accept Mission is not responsible for such third-party content or services.

13. Intellectual Property Infringement

Accept Mission respects intellectual property rights and will respond to valid infringement notices.

14. Changes to These Terms

Accept Mission may modify these Terms from time to time. Continued use of the Service constitutes acceptance of the updated Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands. The courts of the Netherlands shall have exclusive jurisdiction over any disputes.

16. Entire Agreement

These Terms, together with the Privacy Policy and any applicable Customer Agreement, constitute the entire agreement between you and Accept Mission.
